Reference is made to the stock exchange announcements by Salmon Evolution Holding AS (“Salmon Evolution” or the “Company”) published on 11 March 2021, regarding a successfully completed placement of new ordinary shares in the Company through a private placement (the “Private Placement”) and a potential subsequent offering (the “Subsequent Offering”), and on 18 March 2021 regarding the extraordinary general meeting (“EGM”) whereby it was, inter alia, resolved to approve a conversion of the legal form of the Company from a private limited liability company to a public limited liability company (ASA), changes to the board and the Private Placement and the Subsequent Offering by authorizing the board to issue the relevant number of new shares in the Company, as applicable (the “EGM Resolutions”).
The EGM resolutions have now been registered with the Norwegian Register of Business Enterprises following which the new name of the Company is Salmon Evolution Holding ASA and the Company’s board of directors now comprise of:

Furthermore, as a result of the EGM’s approval of the Private Placement, the board of directors has resolved to increase the share capital in Company by NOK 4,166,666.65 through the issuance of 83,333,333 new shares in the Company, each at a nominal value of NOK 0.05, and at a subscription price of NOK 6.00 (the “New Shares”) pursuant to the authorization granted to the board of directors in the EGM. The share capital increase pertaining to the New Shares is expected to be registered on or about 22 March 2021, and the New Shares are expected to be delivered to the subscribers in the Private Placement on or about 23 March 2021. Following this share capital increase, the share capital of the Company will be NOK 15,153,221.05, divided into 303,064,421 shares, each with a nominal value of NOK 0.05.
